Clarksville Department of Electricity (DBA: CDE Lightband), herein referred to as the"Utility," and_________________________________ (Customer), herein referred to as the"Customer," collectively referred to as the "Parties."

1. Introduction
This Power Partners Agreement ("PPA") is entered into by and between the Utility and the Customer.

2. Scope
This Agreement outlines the terms and conditions under which the Utility will purchase excess solar power generation from qualified end-use customers who have a fully executed interconnection agreement with CDE Lightband.

2.1 Eligibility: Customers who wish to participate in this agreement must fulfill the following criteria:

Possess a fully executed CDE Lightband Interconnection Agreement.
Have a solar system size less than 50 kW, measured in kilowatts-alternating current(kW AC).
Propose the transaction of power from a qualifying right-sized solar array, ensuringdelivered and purchased energy does not exceed 100% of their annual electrical usagebased on the associated account's billing meter.

3. Definitions

Annual Electrical Usage: The total electric energy consumption for the billing meterlinked to the associated account.
Billing Period: The timeframe for billing and payment defined by the Utility.
Excess Solar Generation: Solar energy produced by the Customer's system exceedingtheir annual electrical usage.
Right-sized: Electric energy delivered to and purchased by the Utility does not exceed more than 100% of the Customer’s annual electrical usage (The total energy usage of the billing meter on the Associated Customer Account).
System Size: The total capacity of the Customer's solar system measured in kW AC.
Associated Customer Account: The single Utility account specified by the customer on the interconnection agreement directly interconnected with the qualifying system.

4. Purchase Terms

Purchase Limit: The maximum excess generation purchased per approved customer is 1,000 kWh per billing period.
Price: The Utility will purchase excess solar generation at the established rates which are reviewed and determined by the Utility monthly. The current rate is available upon request.
All purchases of Excess Solar Generation will include all associated Environmental Attributes including, but not limited to, Renewable Energy Certificates (RECs).

5. Termination
Either party may terminate this Agreement with 30 days' prior written notice to the other party. This agreement will automatically terminate upon electric service discontinuation.

6. Force Majeure
Neither party shall be liable for delays or non-performance due to unforeseen events beyond their reasonable control, such as natural disasters, power outages, or changes in applicable laws.

7. Severability
If any provision of this Agreement is deemed unenforceable, the remaining provisions shall remain valid.

8. Notices
All notices required under this Agreement shall be in writing and delivered by certified mail, return receipt requested, or overnight courier service.

9. Waiver
Any waiver of a breach of this Agreement by one party shall not constitute a waiver of any subsequent breaches.

10. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.

11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee. IN WITNESS WHEREOF, the parties hereto have executed this Power Partners Agreement as of the date first above written.

Paper Copies
You are not required to sign documents electronically, or receive notices or disclosures electronically, and may request paper copies of documents or disclosures, if you prefer. You also have the ability to download and print any signed or unsigned documents sent to you through the electronic signature service. We may also email you a copy of all documents you sign using the electronic signature service. If you wish to receive paper copies instead of electronic documents you may close this web browser and request paper copies from the “sending party” by following the procedures outlined below. The “sending party” may apply a charge for additional expenses incurred by printing and mailing paper copies.

Withdrawal of Consent
You may withdraw your consent to receive electronic documents, notices or disclosures at any time. In order to withdraw consent you must notify the “sending party” that you wish to withdraw your consent to transact business electronically and to provide your future documents, notices, and disclosures in paper format. If at any time, after withdrawing your consent you choose to use our electronic signature system your use of this Service will, once again, evidence your consent to receive documents, notices, and disclosures, electronically. You may withdraw your consent to receive electronic notices and disclosures or execute an electronic signature by following the procedures described below.

Withdrawing your consent, requesting a paper copy, or updating your contact information
You always have the ability to download and print any documents sent to you through our electronic signature system. To withdraw your consent to conduct business electronically, sign documents electronically, and receive documents, notices, or disclosures electronically, please contact the “sending party” directly; by telephone, by email (sent to the “sending party” with any of the topics outlined below stated in the subject line of your email) or by postal mail to their mailing address specified to receive such notices.

“Withdrawal of Consent To Transact Business Electronically” To allow the “sending party” to identify and facilitate your withdrawal of consent to transact business electronically, please provide your name, email address, the date on which you are withdrawing your consent, your telephone number and mailing address.

“Requesting A Paper Copy” To allow the “sending party” to identify you to provide a paper copy of the document requiring your signature, the notice, or disclosure, please provide the sending party with your name, email address, mailing address, telephone number, and name of the document of which you are requesting a paper copy .

“Update Your Contact Information” To allow the “sending party” to identify you in order to update your contact information, please provide them with your name, email address, mailing address, and telephone number.

The “sending party” will inform you of any fees related to costs for printing and mailing paper copies or your withdrawal consent to transact business electronically.
